### EzzeMedia Service Agreement
**Welcome to EzzeMedia!**
Thank you for choosing us for your website and mobile app development needs. This Service Agreement outlines the terms and conditions under which EzzeMedia ("we", "us", "our") provides its services to you ("Client", "you"). By engaging our services, you agree to be bound by the terms of this Agreement.
**1. Services Provided**
EzzeMedia will provide website and mobile application development services as described in the detailed proposal provided to you and as outlined on our project specification sheet. This may include, but is not limited to, design, development, testing, and deployment of the application(s).
**2. Payment Terms**
- **Fees:** The total fee for the services will be as per the quote provided to you.
- **Payment Schedule:** Payments are due in accordance with the payment schedule outlined in the proposal. Typically, this is broken down into an initial deposit, progress payments, and a final payment upon project completion.
- **Late Payments:** Late payments will incur a late fee of 1.5% per month on the outstanding balance.
**3. Project Timeline**
The project will commence upon receipt of the initial deposit and continue until the completion date as specified in the project timeline. Any delays caused by client feedback or additional requests may result in an adjustment of the final delivery date.
**4. Changes and Revisions**
Any changes to the scope of work after approval of the proposal must be documented in a written Change Order and may be subject to additional charges. Change Orders will adjust the project fee and timeline accordingly.
**5. Acceptance of Work**
Acceptance of work is based on the deliverables outlined in the proposal. Upon completion of a milestone, you will review and test the deliverables. You must notify us of any issues within ten (10) business days. Failure to provide notification within this timeframe will constitute your acceptance of the work performed to that point.
**6. Intellectual Property**
Upon final payment, the intellectual property rights of the developed website or application and associated designs will be transferred to you. EzzeMedia reserves the right to use generic elements of the codebase and to showcase the work in our portfolio.
**7. Confidentiality**
Both parties agree to keep all proprietary information confidential, not to disclose to any third party without the prior written consent of the other party, and to use such information only as required by this Agreement.
**8. Limitation of Liability**
EzzeMedia's liability under this Agreement shall be limited to the total amount paid by you for the services rendered. We are not liable for any indirect, special, or consequential damages arising from this Agreement.
**9. Termination**
Either party may terminate this Agreement with thirty (30) days written notice if the other party breaches any of its terms and fails to correct the breach within that period.
**10. Dispute Resolution**
In the event of a dispute, both parties agree to first attempt to resolve the disagreement through formal negotiation. If a resolution cannot be reached, the dispute will be settled through arbitration in accordance with the rules of the American Arbitration Association.
**11. General Provisions**
- **Force Majeure:** Neither party shall be in breach of this Agreement if there is any total or partial failure of performance by each due to an act of God, fire, act of government or state, war, civil commotion, insurrection, embargo, prevention from or hindrance in obtaining any raw materials, energy or other cause beyond the control of either party.
- **Modification of Agreement:** Any amendments or modifications of this Agreement or additional obligation assumed by either party in connection with this Agreement shall only be binding if evidenced in writing signed by each party or an authorized representative of each party.
**12. Entire Agreement**
This document and any exhibit attached constitute the sole and entire agreement between the parties regarding the project and supersedes all prior agreements and understandings, both written and oral, between the parties regarding the subject matter hereof.
**By continuing with any service from EzzeMedia, you agree to the terms laid out in this Service Agreement.**
